The Alliance's policy priorities include:

• Providing a statutorily codified business judgment rule that fosters certainty in corporate decision-making;

• Allowing for prospective judicial certification of special committee independence prior to the deployment of capital;

• Allowing corporations to establish an ownership threshold for derivative suits, ensuring that shareholders drive large-scale litigation with a real economic interest in the enterprise vs. as a cottage industry for lawyers; and

• Strengthening and upholding the Texas Business Court.
